Our Services are designed to complement existing payment systems and enhance overall transaction success rates. We specialize in analyzing and recovering lost or declined transactions that may still be chargeable with the use of machine learning and predictive analytics.

Transaction Approval and Coverage:
As part of the Services, BetterCharge may, in its sole discretion, approve certain declined transactions based on its proprietary underwriting models and policies. Where BetterCharge elects to approve a transaction, it may provide coverage to you for such transaction, subject to the terms of any separate agreement between you and BetterCharge. You acknowledge that approval of a transaction does not guarantee that the underlying payment method will be successfully charged, and that any coverage provided by BetterCharge is conditional, limited, and governed by the applicable commercial agreement.

2. Nature of Services

BetterCharge provides a technology solution designed to assist in the recovery of declined transactions. BetterCharge is not a payment processor, payment gateway, acquiring bank, issuing bank, or merchant of record. BetterCharge does not process payments directly but operates in conjunction with third-party payment providers and financial institutions. All payment processing activities are performed by such third parties, and you remain solely responsible for your relationships with them.

3. Acceptance of Terms

By accessing or using our Services, you confirm that you have read, understood, and agree to these Terms. These Terms form a legally binding agreement between you and BetterCharge.

4. Eligibility

To use our Services, you must meet the following criteria:

  • Be at least 18 years old or the legal age of majority in your jurisdiction.
  • Have the authority to enter into these Terms if acting on behalf of a business, organization, or other entity.

5. Account Registration and Security

Account Creation: In order to access certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately if you suspect any unauthorized use of your account.

As a user of our Services, you agree to:

  • Comply with all applicable laws and regulations regarding your use of the Services.
  • Not engage in any conduct that is harmful, unlawful, or interferes with the proper functioning of our Services.

Authorization to Retry Transactions:
By using the Services, you authorize BetterCharge to analyze and reattempt previously declined transactions on your behalf. You acknowledge that such reattempts may occur after the original transaction attempt and at varying time intervals based on BetterCharge’s predictive models. You are solely responsible for ensuring that your end users have provided all necessary consents and authorizations required under applicable laws and card network rules for such reattempts.

Use via Third-Party Providers:
The Services may be accessed and used directly by you or indirectly through third-party service providers, including payment service providers, platforms, or partners that integrate or offer BetterCharge’s Services on a white-label or embedded basis. In such cases, you acknowledge and agree that any obligations relating to end-user disclosures, consents, and compliance with applicable laws and card network rules may be fulfilled by you or by such third-party provider on your behalf, and you remain responsible for ensuring that such obligations are properly met. BetterCharge shall not be responsible for the acts, omissions, or compliance failures of any such third-party provider.

7. Intellectual Property

Ownership: All content, software, and intellectual property associated with Better’s Services, including but not limited to trademarks, logos, and proprietary algorithms, are owned by BetterCharge.

License: Subject to your compliance with these Terms, Better grants you a limited, non-exclusive, non-transferable license to access and use our Services for the purpose of recovering lost transactions.

Data Usage for Service Improvement:
You grant BetterCharge the right to use transaction data, performance data, and related information on an aggregated and anonymized basis for the purposes of operating, improving, and enhancing the Services, including the development and training of predictive models and analytics systems. Such data will not be used to identify you or your end users.

8. Privacy

BetterCharge values your privacy and is committed to protecting your data. Please review our Privacy Policy for detailed information on how we handle your personal and transactional data.

9. Fees and Payments

Any applicable fees for using Better’s services will be outlined in a separate agreement.

10. Limitations of Liability

No Guarantee of Recovery:
While Better uses advanced technology to recover lost transactions, we do not guarantee that any declined transaction will be approved or successfully recovered. Any decision to approve a transaction is made at BetterCharge’s sole discretion.

Limitation:
To the fullest extent permitted by law, BetterCharge is not liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use our Services.

Indemnification:
You agree to indemnify and hold BetterCharge harmless from any claims, damages, or losses resulting from your misuse of the Services or violation of these Terms.

Maximum Liability:
To the fullest extent permitted by law, BetterCharge’s total aggregate liability arising out of or relating to the Services shall not exceed the total fees paid by you to BetterCharge in the twelve (12) months preceding the event giving rise to the claim.

Third-Party Dependencies:
BetterCharge shall not be liable for any failures, delays, declines, or errors caused by third-party systems, including but not limited to payment processors, card networks, issuing banks, or other financial institutions.

No Responsibility for Unapproved Transactions:
You acknowledge that transaction approval and recovery outcomes depend on multiple external factors beyond BetterCharge’s control. BetterCharge shall not be liable for failed transactions, declined payments, or related losses, except with respect to transactions that have been explicitly approved by BetterCharge and are subject to coverage under a separate written agreement.

Scope of Transaction Coverage:
Any transaction approval or coverage provided by BetterCharge is offered solely in accordance with the terms and conditions set forth in a separate written agreement between you and BetterCharge. Nothing in these Terms shall be construed as creating any obligation for BetterCharge to fund, settle, or guarantee any transaction except as explicitly agreed in such separate agreement.

11. Termination

Termination by User: You may terminate your use of the Services at any time by contacting BetterCharge.

Termination by Better: BetterCharge reserves the right to suspend or terminate your account at its sole discretion, especially if you violate these Terms or misuse the Services.

12. Modifications to Terms

BetterCharge may modify or update these Terms at any time. Significant changes will be communicated to users via email or through a notice on our website. Continued use of the Services after such changes signifies your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Israel, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the competent courts located in Israel.

14. Dispute Resolution

Informal Resolution: Before pursuing formal legal action, users agree to attempt to resolve any disputes informally through negotiation with BetterCharge.

Arbitration: If informal resolution is unsuccessful, disputes will be resolved through binding arbitration in Israel, under the rules of the Israeli Arbitration Association.
